Agreement between User and The Borrowing Club, LLC, ("TBC") a Florida limited liability company doing business as LoanQuo.

Welcome to TBC, provider of TBC marketing technology. TBC operates https://loanquo.com, each with various webpages and is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of https://loanquo.com constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy of them for your reference.

TBC is a Software-as-a-Service based technology and marketing company. TBC engages with customers to help them submit consumer loan requests via the TBC technology.

Privacy

Your use of https://loanquo.com/privacy-policy is subject to TBC's Privacy Policy. Please review our Privacy Policy, which also governs the Sites and informs users of our data collection practices.

Electronic Communications

Visiting https://loanquo.com or sending emails to TBC constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Your Account

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that TBC is not responsible for third party access to your account that results from theft or misappropriation of your account. TBC and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

No Unlawful or Prohibited Use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use https://loanquo.com strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to TBC that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of TBC or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. TBC content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of TBC and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of TBC or our licensors except as expressly authorized by these Terms.

International Users

The Service is controlled, operated and administered by TBC from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the TBC Content accessed through https://loanquo.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Indemnification

You agree to indemnify, defend and hold harmless TBC, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. TBC reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with TBC in asserting any available defenses.

Arbitration

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree to arbitrate all disputes and claims in regard to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and TBC agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. TBC ITS SUPPLIERS MAY MAKE IMPROVEMENTS CHANGES IN THE SITE AT ANY TIME. TBC, ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. TBC, ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TBC, ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF TBC, OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/Access Restriction

TBC reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of California and you hereby consent to the exclusive jurisdiction and venue of courts in California in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and TBC as a result of this agreement or use of the Site. TBC's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of TBC's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by TBC with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and TBC with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and TBC with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to Terms

TBC reserves the right, in its sole discretion, to change the Terms under which https://loanquo.com is offered. The most current version of the Terms will supersede all previous versions. TBC encourages you to periodically review the Terms to stay informed of our updates.

In connection with your use of this site, The Borrowing Club, LLC, ("TBC") a Florida limited liability company doing business as LoanQuo. shares your Personal Information with its Partners to provide the loan eligibility service and their related tools and services.

Collection of your Personal Information

In order to better provide you with products and services offered on our Site, TBC may collect personally identifiable information, such as your:

Scope of Consent.

This E-Consent Policy applies to all interactions online concerning you, and the third party lending partner or Advertiser (LoanQuo), and includes those interactions engaged in on any mobile device, including phones, smart-phones, tablets, and any other electronic device that allows the consumer to connect to the Internet. By exercising this E-Consent, the third party may process your information and interact during all online interactions with you electronically. The third party may also send you notices electronically related to its interactions and transactions. Disclosures may be provided online at Loanquo.com or the third party websites, and may be provided by e-mail. See above for guidance on how to request paper copies.

Consenting to Do Business Electronically.

Before you decide to do business electronically with the third party advertiser, you should consider whether 1. You wish to conduct business electronically, and 2. You have the required hardware and software capabilities described below.

Hardware and Software Requirements.

Withdrawing Consent.

If you are connected with one or more third-party lending partners, you are free to withdraw your E-Consent with those third-parties at any time, and at no charge. However, if you withdraw this E-Consent before being connected with the third party lending partner, you may be prevented from obtaining an offer from the third party as this consent is required, for this one time transaction, to facilitate the connection and to conduct business. Contact the third-party lending partner directly if you wish to withdraw this E-Consent. If you decide to withdraw this E-Consent, the legal effectiveness, validity, and enforceability of prior electronic disclosures will not be affected.

Change to Your Contact Information.

You should keep third party advertisers informed of any change in either your electronic address or physical mailing address. Your lending partner will have specific instructions on how to update your contact information, if necessary. Please note that Loanquo.com cannot update your information for you.

This Privacy Notice for California Residents supplements the information contained in TBC’s Privacy Policy and applies solely to all visitors, users, and others who reside in the State of California ("consumers” or “you”). TBC is an award-winning service which connects consumers with a marketplace of third party lending partners, financial service providers, credit card providers and debt relief providers. To assist us in providing our award-winning service, we collect and process your information. We work extremely hard to be good stewards of your information at all times. 

This document is here to help you understand what information we collect, why we collect it, and how you can update, manage, export, and delete it. 

Information We Collect

Personal information you provide to us. Personal information you may provide to us when you use the service such as:

  • Contact data, such as your first and last name, email address, residential address and phone number.
  • Identity data, such as your Social Security number and date of birth.
  • Credit history and loan data, such as your estimated credit score, vehicle and home ownership status and other information.
  • Employment data, such as your employment status, employer name, and income
  • Education data, such as the education level you have obtained.
  • Other information that we may collect which is not specifically listed here, which we will use as described in this Privacy Policy or as otherwise disclosed at the time of collection.

Other sources. As part of our service we may receive information from the Partners we connect you with including, but not limited to status of product acceptance and funding, and loan terms offered and obtained (such as APR, repayment amount, loan amount). As part of our service we may also receive information from Transunion when we perform a soft credit check including but not limited to your credit score and profile. We may combine personal information we receive from you with information we obtain from other sources, such as:

  • Data providers, such as credit bureaus and information services.
  • Business partners, third parties, lending partners, or affiliates, as well as other information provided to us online or offline by customers or users of Loanquo.us

Automatic Collection. We, our service providers and our third party partners may automatically capture information about you, your computer or mobile device, and your activity over time on the service and other online services, including:

  • Online activity data, such as the date and time of your access, visit or use of the service, and information about your activity on a page or screen.
  • Device data, such as unique device identifier, media access control address, network information, hardware model, browser type, screen resolution, IP address as well as usage and traffic data and information about how the device interacts with the service.

Cookies and Similar Technologies. To assist the services in collecting and storing Non-Personal Information, we may employ a variety of technologies, including “Cookies,” local browser storage and “Web Beacons”:

Research and development. We may use your personal information for research and development purposes, including to perform research and analysis aimed at improving our products and services. We make personal information into anonymous data by removing information that makes the data personally identifiable in order to share it with third parties for our lawful business purposes, including to analyze and improve the service and promote our business.

Fair Lending Laws are a culmination of laws and regulations intended to protect consumers by prohibiting unfair and discriminatory practices. Details on certain relevant laws regarding consumer protection are included below for informational purposes.

TBC encourages consumers who feel their lending partner has violated any aspect the law/laws or regulatory requirements to file a complaint with the Consumer Finance Protection Bureau, or applicable enforcing agency.

Equal Credit Opportunity Act (ECOA): ECOA prohibits discrimination based on race or color, marital status, religion, nationality or national origin, gender, age (so long as the applicant is capable of entering into a contract), income derived from public assistance programs, and the applicant’s exercise of any right under the Consumer Credit Protection Act. This Act applies to any extension of credit.

Fair Credit Reporting Act (FCRA): FCRA is intended to promote correctness, fairness, and confidentiality of information in Consumer Reporting Agency files by requiring the agencies to furnish correct and whole information to businesses when a consumer's information is being evaluated for insurance, credit, or employment. Under the FCRA, consumers have the right to:

  • Know the information within their credit file
  • Be informed if information in their file has been used against them
  • Dispute incomplete or erroneous data in their file
  • Receive one disclosure at no cost every 12 months upon request from each nationwide credit bureau and from nationwide specialty consumer reporting agencies
  • Request a credit score from consumer reporting agencies for a fee
  • Limit access the consumer’s file to people with a valid need for access
  • Limit unsolicited offers of credit and be provided with opt out rights of such communications.

The Truth in Lending Act (TILA): TILA is intended to promote knowledgeable use of consumer credit by requiring written disclosures regarding terms, costs, and fees of loans before a consumer takes responsibility for the loan. This act additionally provides consumers the right to withdraw from certain credit dealings involving a lien on the consumer’s dwelling, provides a means for just and timely resolve of credit billing disputes and regulates credit card practices. Note, this Act does not mandate the charges that may be imposed for consumer credit. The lending partners in TBC’s network are required to provide consumers with clearly written and discernable interest rates, late fees, and any other fees that may be connected with their loan before loan documents are fully executed.

Americans With Disabilities Act (ADA): This Act prohibits discrimination against qualified individuals with disabilities by ensuring that these individuals have equivalent access to goods and services offered by private businesses.

Debt Collection Practices TBC is not a lending partner, does not fund loans, and does not engage in any kind of practice related to debt collection. TBC aims to work only with reputable lending partners who adhere to fair debt collection practices and guidelines. TBC supports the provisions of the Fair Debt Collection Practices Act which is enforced by the Federal Trade Commission. The Act forbids collectors and collection attorneys from using misleading behaviors, harassment, and other unethical practices in an effort to collect debt. The Act additionally stipulates specific hours of the day in which consumers may be contacted. The FDCPA typically does not apply to first party creditors, however certain states have passed laws similar to the FDCPA that may apply to first party creditors. Certain lending partners of TBC may collect their own debts and therefore may be subject to state lending or debt collection regulations.If a lending partner directly or indirectly violates a debt collection law or regulation we suggest reporting the violation to the FTC.

Implications of Late Payment and Non-Payment If you obtain a loan, it is vital that you understand implications that could result from making a payment late or from failing to make a payment. Each lending partner determines their own policy regarding fees that may be charged and/or other consequences from late or non-payments. Consequences can include added charges, negative implications to your credit history and score, collections, and more. We advise you to thoroughly review the payment policies provided in your loan documents before signing so you may understand the policy and any potential fees or penalties associated with late or non-payments.

State Regulations TBC has a due diligence process in place to aid in ensuring that our partners are abiding by the applicable state and federal regulations. However, TBC is not responsible for any actions conducted from sources outside its control.Individual states may have their own regulations for lending, including laws pertaining to interest rate limitations, rollover terms, fees, loan terms, recession periods, etc. While TBC does our best to ensure the lending partners within our network comply with all federal and state regulations, it is necessary for each consumer to educate themselves about their loan offer prior to considering whether or not to accept the offer. This includes the federal and state laws, rules, and regulations that apply.

Marketing Practices To utilize TBC’s services, you must agree to our Terms of Service, Credit Authorization Agreement, Privacy Policy, and E-Consent. By proceeding with the use of TBC’s service, you are requesting to seek pre-qualified loan offers from the lending partners through the sharing of the information that you provide to us.

By submitting your information on the TBC website you may also choose to give your express consent to receive marketing and advertising materials from TBC, our lending partners, and third-party advertising partners with whom we may also share your information. TBC additionally partners with third party email marketing providers with whom you may receive TBC marketing from if you have opted in to receiving such emails from the third party.
